Vendors Terms & Conditions 2019 to 2020

These terms and conditions govern the 2019 to 2020 agreement between Bridelise (The organisers and platform, including the four platform features; the Bridelise Website, the Bridelise Mini Mag, the Bridelise Expo and the Brideise App) and any company, individual, partnership or organisation (vendor) that makes use of the Bridelise platform, including the four platform features; the Bridelise Website, the Bridelise Mini Mag, the Bridelise Expo and the Brideise App.

 

  1. VENDORS’ LOGO
    • Vendors agree and hereby give permission that their logo/s will be used on the Bridelise site, in the Bridelise Mini Mag, on the Bridelise App and may be used for advertisement for the Bridelise Expo and on the Bridelise social media accounts/pages.
    • Vendors’ logos should be sent in high-resolution no smaller than 500 pixels in an open PDF file and PNG format to info@bridelise.com, on or before 19 July 2019. Bridelise does not guarantee the quality of the logo and reserves the right to reject the logo if the logo has not been sent in the above mentioned date and/or quality, size and formats.
  2. VENDORS’ WRITTEN DESCRIPTION
    • Vendors agree and hereby give permission that their written descriptions will be used on the Bridelise site, in the Bridelise Mini Mag, on the Bridelise App and may be used for advertisement for the Bridelise Expo and on the Bridelise social media accounts/pages.
    • Vendors’ written descriptions should be between 150 and 200 words, all text should be sent via email to info@bridelise.com, on or before 19 July 2019. Brides reserves the right to edit and/or reject written descriptions, if written descriptions have not been sent in the above mentioned date and/or word count.
    • All written descriptions will be copied and pasted and Bridelise will not be held liable to typing and/or spelling errors.
  3. VENDORS’ PHOTOS
    • Vendors agree and hereby give permission that their photos will be used on the Bridelise site, in the Bridelise Mini Mag, on the Bridelise App and may be used for advertisement for the Bridelise Expo and on the Bridelise social media accounts/pages.
    • Vendors agree to send between 10 and 30 high-resolution photos, portrait photos no smaller than 2000 pixels high and landscape photo no smaller than 2000 pixels wide, to Bridelise via a virtual drive such as WeTranfer, Google Drive, Dop Box ect. on or before 19 July 2019. NO flash-drives/memory-sticks and/or discs will be accepted.
    • Bridelise does not guarantee the quality of the final product and reserves the right to reject the photos if the photos have not been sent in the above mentioned date and/or quality and size or via a virtual drive such as WeTranfer, Google Drive, Dop Box ect.
  4. VENDOR PUBLIC CONTACT DETAILS
    • Vendors agree and hereby give permission that their specified public contact details will be used on the Bridelise site, in the Bridelise Mini Mag, on the Bridelise App and may be used for advertisement for the Bridelise Expo and on the Bridelise social media accounts/pages.
    • Vendors’ public contact details are the contact details filled in by vendors under “public contact details” on their registration form.
  5. VENDOR BUSINESS-USE CONTACT DETAILS
    • Vendors agree and hereby give permission that their specified business-use contact details, except their email address, will only be used for business related correspondence by Bridelise. Vendors agree that should they not have sent a public email address, their business-use email address will be used for their digital contact forms.
    • Vendors’ business-use contact details are the contact details filled in by vendors under “business-use contact details” on their registration form, Bridelise reserves the right to allocate public contact details for business-use if the business-use contact details were not filled in completely.
  6. BRIDELISE WEBSITE, APP AND ONLINE PROFILE
    • All standard and featured vendors will be listed on the Bridelise website, also referred to as the Bridelise site, and the Bridelise App, under vendors by category, vendors by area and vendors from A – Z that will link to their online Bridelise profile.
    • All standard and featured vendors’ online profiles will include their logo, written description, photo gallery, public contact details, social media links if URLs are provided, Google map pin if a physical address is provided and a contact.
    • Once vendors’ online website profile have been created, vendors will receive a link to approve their online profile. Vendors will have until 30 August 2019 to approve online profile. All online profiles will go live between 31 August 2019 and 1 September 2019.
    • All standard and featured vendors will be provided with a SQ/QR code that will link to their online profile once their online profile has been approved and have gone live.
    • Online profiles will be updated biannually, the 2019/2020 biannual update will be scheduled between mid-Febuary and mid-March 2020 and all requested updates should be sent in before or on 14 Febuary 2020. Should any updates to online profiles be requested before the 2019/2020 biannual update an update fee will apply.
    • Please note, the second biannual update will fall at the end of the 2019/2020 year and will fall under the new 2020/2021 terms and conditions.
    • Featured vendors will have a welcome slider on the Bridelise website and a welcome post on the Bridelise app that will link to their online Bridelise profile. The welcome slider will go live on the Bridelise website on 1 September 2019 and the welcome post will be launched with the app.
  7. Bridelise Mini Mag 2019/2020 issue
    • All standard and featured vendors will receive an add of 100mm wide by 60mm high with their social media user-names and SQ/QR codes next to, in the Bridelsie Mini Mag 2019/2020 issue. The entire space dedicated to the vendor will be 135mm wide and 60mm high.
    • Vendors will have the choice between the standard add design provided by Bridelise or to send in their own custom add design. Should they choose to send their own custom add design, designs should be sent 100mm wide by 60mm high in an open PDF via a virtual drive such as WeTranfer, Google Drive, Dop Box ect on or before 19 July 2019. Should Bridelise not receive a custom ad design before or on the above mentioned date the standard ad design will be used.
    • Standard add designs will be sent through for approvals before or on 26 July 2019 and vendors will have until 31 July 2019 to approve both standard and custom add designs with social media user-names and SQ/QR codes. All ads will automatically be approved on 1 August 2019.
  8. BRIDELISE EXPO; VENUE/S
    • The Bridelise Breede Valley Expo will be held at the Nuy Valley Guesthouse (the venue) on Saturday, 7 September 2019, registration and set-up will open on Friday, 6 September 2019 and breakdown will occur after the expo has ended and guests have left the premises.
    • Nuy Valley Guesthouse does not and will not be liable for any vendors, including their staff, that attend the expo during the weekend and all vendors, including their staff, enter the venue premises at their own risk.
    • Bridelise and the venue reserve the right to refuse admission to any member of the public or any vendors, including their staff.
    • Vendors are responsible for any damage caused to the fabric of the venue by their activities while participating in the expo.
    • Vendors are responsible for any waste material left behind at the end of the expo. Any costs incurred by Bridelise and/or the venue in the specific disposal of such materials will be passed on to the vendors.

 

 

 

  1. BRIDELISE EXPO; VENDORS EXPO INFO PACKET AND REGISTRATION
    • A digital copy of the Bridelise Vendors’ Expo Info Document will be emailed to vendors no later than a week before the expo, which contains detailed information on scheduled arrival and departure times for the weekend, and any other operational information related to that Brideise Expo. A printed copy of this document will be provided with the Bridelise Vendors’ Expo Info Packet at vendors’ registration.
    • A Bridelise Vendors Expo Info Packet will be provided for each vendor at vendors’ registration which will include;

1 vendor vehicle pass; which will have to be filled in and be visible in the vendor’s vehicle at all times

2 vendor staff passes; these passes will not include any staff names and might not include the vendor’s name

  • Should vendors fail to register during the registration times a late registration fee might apply and/or vendors might not be able to register at all. Should vendors not be able to register at all, they will be classified as a none-registered vendor.
  • None-registered vendors will automatically forfeit their stand without a refund or compensation from either Bridelise and/or the venue.
  1. BRIDELISE EXPO; EXPO STANDS
    • All stands will be allocated on a first come (first booked), first serve basis, bookings will be determent by the dates and times on vendors’ proof of payment sent to accounts@bridelise.com.
    • Failure to furnish the stand by the completion of the allowed set-up time will result in vendors’ automatic cancelation of stand, and Bridelise will be entitled to reallocate that stand space without refund or compensation.
    • Vendors attending any and all Bridelise Expo/s does so at their own risk; Bridelise will provide security and expo assistance that will be situated throughout the expo, but neither Briderlise nor the venue will take any responsibility for vendors property including, but is not limited to, lost, theft and/or damage, and common-sense precautions are urged regarding the safety of vendors effects at all times.
    • Stands does not need to be staffed at all times during the opening hours of the expo, however, vendors does so at their own risk and will take full responsibility for any lost, theft and/or damage to their property as well as the property of the venue and Bridelise.
    • Vendors agree to the set-up and breakdown times provided in the Bridelise Vendor Expo Info Document, and agree to the fine that will be applicable should their stand set-up and/or breakdown not be completed in the allowed amount of time.
    • Expo stands will be 2mx2m by 2.4m high and might include a wooden “box” with a wooden vendor’s name board. Vendors will only have this space for their displays, vendors must not at any time block the front of their neighbouring and/or adjacent stand with their displays nor arrange their stand in such a way as to cause guests visiting the expo to block the aisle in-front of their stand or any neighbouring and/or adjacent stand.
    • Set-up and breakdown of stand displays must only take place during the allocated times as given in the Bridelise Vendors Expo Info Document. Vendors are not permitted to set up or dismantle stand displays or move merchandise within the venue premises while is it open to guests. Specifically, vendors must not commence breakdown at the end of the expo before all the expo guests have vacated the hall, area and/or premises.
    • Vendors will not be permitted to stick, nail, drill and/or hang any displays from the venue walls and/or sealing, and/or the Bridelise wooden boxes, should they be provided.
    • Vendors’ displays must not be placed anywhere other than within the perimeter of the stand. Canvassing of expo guests is not permitted beyond the perimeter of each vendor’s stand such as, but is not limited to the aisles or entrance hall.
    • Vendors must not cause any aisle or emergency exit to be blocked in any way by their goods, displays and/or staff. In case of any dispute the decision of Bridelise is final.
    • Exhibitors must not bring explosives, dangerous and/or harmful substances into the exhibition. No naked flames, fireworks etc. are allowed, and any item and/or device deemed unsafe by Bridelise it will be removed.
    • Vendors must seek the permission from Bridelise should they wish to bring any animal into the venue premises.
    • Any vendors’ contractors employed on site for the purposes of stand construction or connection of utilities must gain the written permission of Bridelise.
    • Only specified stand will have electricity lead to them and will only allow one electrical appliance to be slotted into the electric point. These stands will include an electric point lead from the wall socket to the stand, but will not include specialised plugs such as two-point plugs. These stands just as all stands will be allocated on a first come (first booked), first serve basis.
    • Vendors selling food items at any time during the expo should have all the current food hygiene certificates and will have to provide a copy of these certificates with their registration form.
    • At no point during the expo will subletting, sharing and/or transferring of stand/s be allowed, unless the vendor has sold their business and/or have more than once business. Should vendors sell and/or own more than one business, vendors should make Bridelise aware of this in writing via email to accounts@bridelise.com.
    • Bridelise reserves the right to change the position or number of that stands space at the expo. Bridelise also reserves the right to alter the overall layout of the exhibition if necessary, which in turn may affect the location of individual stands. In the event that re-allocation of stand space is necessary for any reason, Bridelise will undertake as far as possible to allocate the closest equivalent stand. This eventuality does not constitute a violation of the contract and does not permit the vendor to revoke this agreement.
  2. BRIDELISE EXPO; NOISE LEVELS
    • Vendors must ensure that any and all sounds emanating from their stands are kept to a level that does not cause disturbance to other vendors or to performers. In case of any dispute the decision of Bridelise is final.
    • No voice amplifiers are to be used by any vendors, including their staff.
    • Any use of pre-recorded music or video material must have the current/proper certificate or be copyright free.
    • During the expo there will be louder performance sessions on the stage; these will run through designated times on each day, any loss of trade to vendors due to the volume of these will not be the responsibility of Bridelise, the venue and/or any performers and/or staff.
  3. BRIDELISE EXPO; VENDORS’ STAFF
    • All vendors’ staff should be of the legal working age of the Republic of South Africa at the time of the expo/s, should any casual staff workers be younger than 18 vendors are obligated to notify Bridelise and Bridelise reserves the right to deny right of entry to one or all staff member under the age of 18.
  4. BRIDELISE EXPO; VENDORS’ CODE OF CONDUCT
    • Whilst participating in the expo/s, vendors, including their staff, must not conduct their business in a manner that could bring the reputation and/or integrity of Bridelise, the venue and/or other vendors attending into disrepute. Bridelise reserves the right to stop or remove any act, display item and/or person deemed to be inappropriate and/or to be detrimental to its interests.
    • Vendors, including their staff, must not cause any obstruction and/or disturbance to the neighbouring and/or adjoining stands at the expo, and/or the venue premises in the process of moving into or out of the venue the hall, area and/or premises.
  5. BRIDELISE EXPO; PHOTOGRAPHS AND VIDEO/FILM FOOTAGE
    • Vendors, including their staff, automatically give their permission to be photographed and/or filmed while on the premises of the venue during any and all Bridelise expos.
    • Vendors, including their staff, note that these photos and video/film footage may be used to promote and advertise the Bridelise platform along with being used as stock footage.
    • Any and all images, picture, photos and/or video/film footage taken by vendors, including their staff, at any and all Bridelise expos are and will remain the property of Bridelise.
    • Vendors, including their staff, agree that should Bridelise contact them requesting any and/or all of these images, picture, photos and/or video/film footage, they will send these images, picture, photos and/or video/film footage via a virtual drive such as WeTranfer, Google Drive, Dop Box ect.
    • Should vendors wish to arrange for their own private professional photographers, videographers and/or filming crew, a written request should be sent via email to accounts@bridelise.com. Bridelise reserve the write to deny such a request at any time and should such a request be granted it will be done so in writing.

 

 

 

  1. REGESTRAION
    • Bridelise reserves the right to decline an registration of vendors if, in their opinion, it is deemed unsuitable for the platform.
    • Registration for the Breede Valley and surrounding area will close on 30 August 2019.
    • Please note that the website listing is FREE for 2019/2020 and thus the payments section in these terms and conditions do not apply. However, should Bridelise feel that website vendors making miss-use of the service or they are not cooperating, Bridelise reserves the right to remove them from the platform.
  2. PAYMENTS; NEW 2019/2020 VENDORS
    • Standard and featured vendors qualify for a 10% discount should their full payment of R5 000 for standard vendors and R6 750 for featured vendors clear in the Bridelise bank account before or on 31 July 2019. Should payments clear late vendors might be held liable for the outstanding 10%.
    • Featured vendors agree and enter into an annual agreement with Bridelise, vendors will be liable for the annual fee of R7 500 OR R6 750 if 10.1 applies. Please note that the three payment options; an annual once off payment, two biannual payments or four quarterly payments are only available for standard vendors.
    • Standard vendors agree and enter into an annual agreement with Bridelise, vendors will be liable for the annual fee of R5 500 OR R5 000 if 10.1 applies, even though Bridelise has three payment options available for standard vendors; an annual once off payment, two biannual payments or four quarterly payments.
    • A 50% deposit is required to finalize vendor’ registration, vendors will be invoiced according to the payment options they chose on their registration form, this payment option will be legally binding and may only be changed at the discretion of Bridelise. Should vendors wish to change their payment options, they should do so in writing via an email sent to accounts@bridelise.com.
    • Annual payments will be a once off payment, should vendors choose to pay before or on 31 July 2019 the outstanding amount of R2 500 for standard vendors and R3 375 for featured vendors will be due before or on 31 July 2019. Should vendors choose to pay after 31 July 2019 the outstanding amount of R2 750 for standard vendors and R3 750 for featured vendors will be due before or on 30 August 2019.
    • Biannual payments are only available for standard vendors; the outstanding 50% will be payable in two biannual payments, the first payment of R1 375 will be due before or on 30 August 2019 and the second payment of R1 375 will be due before or on 28 February 2019.
    • Quarterly payments are only available for standard vendors; the outstanding 50% will be payable in four quarterly payments, the first payment of R687.50 will be due before or on 30 August 2019, the second payment of R687.50 will be due before or on 29 November 2019, the third payment of R687.50 will be due before or on 28 February 2020, and the final payment of R687.50 will be due before or on 29 May 2020.
  3. PAYMENTS; 2018/2019 VENDORS
    • 2018/2019 vendors automatically qualify for a 10% discount. Making the annual fee R5 000 for standard vendors and R6 750 for featured vendors.
    • Standard and featured vendors qualify for an additional 10% discount, giving 2018/2019 vendors the potential of a 20% discount, should their full payment of R4 400 for standard vendors and R6 000 for featured vendors clear in the Bridelise bank account before or on 31 July 2019. Should payments clear late vendors might be held liable for the outstanding 10%.
    • Featured vendors agree and enter into an annual agreement with Bridelise, vendors will be liable for the annual fee of R6 750 OR R6 000 if 11.1 applies. Please note that the three payment options; an annual once off payment, two biannual payments or four quarterly payments are only available for standard vendors.
    • Standard vendors agree and enter into an annual agreement with Bridelise, vendors will be liable for the annual fee of R5 000 OR R4 400 if 11.1 applies, even though Bridelise has three payment options available for standard vendors; an annual once off payment, two biannual payments or four quarterly payments.
    • A 50% deposit is required to finalize vendor’ registration, vendors will be invoiced according to the payment options they chose on their registration form, this payment option will be legally binding and may only be changed at the discretion of Bridelise. Should vendors wish to change their payment options, they should do so in writing via an email sent to accounts@bridelise.com.
    • Annual payments will be a once off payment, should vendors choose to pay before or on 31 July 2019 the outstanding amount of R2 200 for standard vendors and R3 000 for featured vendors will be due before or on 31 July 2019. Should vendors choose to pay after 31 July 2019 the outstanding amount of R2 500 for standard vendors and R3 375 for featured vendors will be due before or on 30 August 2019.
    • Biannual payments are only available for standard vendors; the outstanding 50% will be payable in two biannual payments, the first payment of R1 250 will be due before or on 30 August 2019 and the second payment of R1 250 will be due before or on 28 February 2019.
    • Quarterly payments are only available for standard vendors; the outstanding 50% will be payable in four quarterly payments, the first payment of R625 will be due before or on 30 August 2019, the second payment of R625 will be due before or on 29 November 2019, the third payment of R625 will be due before or on 28 February 2020, and the final payment of R625 will be due before or on 29 May 2020.
  4. PAYMENTS; INVOICING AND MISSED PAYMENTS
    • Bridals will send the vendor invoices out 7 days prior to their due date, should vendors be unable for any reason be unable to make their payment, vendors can make written payment arrangements via email before invoices are sent out to accounts@bridelise.com.
    • Please note proof of payment is required, proof of payment can be sent to accounts@bridelise.com. Please note, once full payment has been received a receipt will be sent to vendors. If vendors have not received their receipt within 2 working days after payment has been made, please inquire if payment was received. If proof of payment has not been received Bridelise will not be held responsible for any reminders send regarding payments and/or missing payments and reserves the right view the payment as failed.
    • If the vendor’s payment fails to clear in the Bridelise bank account before or on the invoice due date and no prior arrangement was made via email to accounts@bridelise.com, Bridelise reserves the right to mark that payment as failed resulting in 10% failed payment fee.
    • If the vendor fails to settle their account, including their outstanding invoice and the 10% failed payment fee within one calendar month or fail to make payment arrangements in writing via email to accounts@bridelise.com, Bridelise reserves the right to remove the vendor from the platform, including all four features, until their account has been settled.
    • Bridelise reserves the right to ban vendors from the platform, including all four features, for a limited time or permanently and pursue legal action should multiple payments be missed. Bridelise will not be held responsible for funds lost or any reputation damage the vendor might occur during this prose.
  5. CANCELATION
    • These terms and conditions govern the annual agreement between Bridelise and the vendors for the 2019/2020 year, if the any reason the vendor wished to cancel this agreement they will be liable for the full outstanding amount due and will have to send a written letter of intent to accounts@bridelise.com, after this letter has been received and the full outstanding amount has cleared in the Bridelise bank account, a confirmation email will be sent the vendor.
    • Until the full outstanding amount has not cleared in the Bridelise bank account, no confirmation letter will be sent and the vendor will remain liable for any and all invoices still due to be sent.
    • After a confirmation letter has been sent the vendor’s listing will be removed from the Bridelise website and app within the following calendar month.
    • Should vendors not adhere to these terms and conditions as stated above, Bridelise reserves the right to cancel/terminate the vendor’s use of the platform, including all four features, along with reserving the right to ban the vendor from the the platform, including all four features, for a limited time or permanently. Bridelise will not be held responsible for funds lost or any reputation damage the vendor might occur during this prose.

 

 

 

  1. DISCLAIMER
    • Bridelise will act at all times in the best interests of vendors and in doing so may from time to time alter the details of these terms and conditions if required.
    • In the case of any breach of contract Bridelise reserves the right to remove vendors and/or items from the Bridelise plaftom, including the Bridelise Site, Bridelise Mini Mag, Bridelise App and the Bridelise Expo/s and/or revoke the contract without prejudice to the right to recover any monies owed to Bridelise.
    • In the event of postponement or abandonment by Bridelise the vendors shall not have any claim against Bridelise. Any failure to settle a dispute related to these terms and conditions will be resolved in a court of law.
    • Bridelise will use all reasonable care and skill in providing the services vendors order under this agreement, but Bridelise do not guarantee any results of the services. Vendors remain wholly responsible for any decisions and actions vendors take.
  2. VENDORS FEEDBACK AND COMPLAINTS
    • Bridelise welcomes vendors’ questions and comments about these terms and conditions, should you have such comments and/or a complaint please send an email to accounts@bridelise.com.
